This Terms of Service Agreement ("Agreement") is entered into between EduLingo, Inc. ("Company," "we," "us," or "our") and the individual or entity accessing or using the EduLingo platform ("User," "you," or "your"). This Agreement governs your access to and use of the EduLingo platform, including any content, functionality, and services offered on or through the platform.

1. Acceptance of Terms

By accessing, browsing, or using the EduLingo platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the platform. Your continued use of the platform constitutes your ongoing acceptance of these terms and any modifications thereto.

2. Description of Service

EduLingo is a comprehensive language learning platform that facilitates educational interactions between students and teachers. The platform enables students to access language courses, track their learning progress, and interact with qualified instructors. Teachers may create branded language schools, develop and distribute educational content, manage student enrollments, and monetize their expertise through the platform's integrated payment systems.

3. User Accounts and Registration

To access certain features of the platform, you must create a user account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security. You may not use another person's account without permission, and you may not allow another person to use your account.

4. Subscription Plans and Payment Terms

Access to certain platform features may require payment of subscription fees or course enrollment fees. All fees are payable in advance and are non-refundable except as expressly provided in these terms or as required by applicable law. We reserve the right to modify our pricing structure upon thirty (30) days' notice to users. Payment processing is handled through third-party providers, and you agree to comply with their terms of service.

5. Intellectual Property Rights

The EduLingo platform, including all software, designs, text, graphics, and other content, is owned by Company or its licensors and is protected by copyright, trademark, and other intellectual property laws. Teachers retain ownership of their original educational content but grant Company a non-exclusive, worldwide license to host, distribute, and make such content available through the platform for the purpose of providing the service.

6. User Content and Conduct

Users are prohibited from posting, uploading, or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. Users must not impersonate any person or entity, falsely state or misrepresent their affiliation with any person or entity, or attempt to gain unauthorized access to the platform or other users' accounts.

7. Teacher-Specific Terms

Teachers using the platform agree to provide accurate course descriptions, maintain professional standards in all student interactions, and comply with applicable educational regulations. Revenue sharing arrangements between teachers and Company are detailed in the teacher dashboard and may be modified with appropriate notice. Teachers warrant that their content does not infringe upon third-party intellectual property rights.

8. Privacy and Data Protection

Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the platform, you consent to the collection and use of your information as described in the Privacy Policy.

9. Service Availability and Modifications

While we strive to maintain continuous service availability, we do not guarantee uninterrupted access to the platform. We reserve the right to modify, suspend, or discontinue any aspect of the service with reasonable notice. Scheduled maintenance will be announced in advance when possible, though emergency maintenance may occur without prior notice.

10. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL COMPANY'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

Either party may terminate this Agreement at any time. You may delete your account through the platform settings. We may suspend or terminate your access to the platform if you violate these terms. Upon termination, your right to access the platform ceases immediately, though certain provisions of this Agreement shall survive termination.

12. Dispute Resolution and Governing Law

Any disputes arising from this Agreement shall be resolved through binding arbitration, except for claims that may be brought in small claims court or claims for injunctive relief. This Agreement shall be governed by the laws of [Jurisdiction], without regard to conflict of law principles.

13. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to users via email or platform notification. Your continued use of the platform after such modifications constitutes your acceptance of the revised terms.
